The agreement that governs your access to and use of the CholaVerse platform and services.
These Terms & Conditions (“Terms”) form a binding agreement between you and CholaVerse, Inc. (“CholaVerse”, “we”, “us”) governing your access to and use of the CholaVerse platform, websites, APIs, AI agents and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.
CholaVerse provides an AI-native operations platform for e-commerce businesses, enabling you to manage functions including product and inventory, marketing, sales, customer service, order management, fulfilment, accounting and people operations, with work performed by human users and AI agents through a shared interface and machine interfaces.
We may add, modify or discontinue features from time to time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether performed by your personnel or by AI agents you configure. You agree to:

Unless otherwise agreed in an order form, fees for the Services are outcome-based: you pay an agreed share of verified reductions in your operating cost attributable to the Services, measured against a baseline established with you. Specific definitions of baseline, measurement windows, applicable KPIs and revenue-share percentages are set out in your order form. Fees are invoiced in arrears for the relevant period. Where no qualifying saving is realised in a period, no usage fee accrues for that period.
You retain all rights to the data you and your customers provide to the Services (“Customer Data”). You grant CholaVerse a limited licence to process Customer Data solely to provide and improve the Services for you, subject to our Privacy Policy. We implement appropriate technical and organisational measures to protect Customer Data and keep it isolated to your tenant.
You agree not to use the Services to: violate any law or third-party rights; transmit unlawful, infringing or harmful content; attempt to gain unauthorised access to the Services or other tenants’ data; interfere with the integrity or performance of the Services; or misrepresent agent-generated communications in a manner prohibited by applicable law.
The Services, including all software, models, designs and documentation, are owned by CholaVerse and its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred. Feedback you provide may be used by us without restriction.
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and we disclaim all other warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. AI outputs may contain errors; you are responsible for applying appropriate review and guardrails.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or for lost profits or revenues. Each party’s aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by you to CholaVerse in the twelve months preceding the event giving rise to the claim.
These Terms remain in effect while you use the Services. Either party may terminate as set out in the applicable order form or for material breach not cured within thirty (30) days of notice. Upon termination, your right to access the Services ceases and we will make Customer Data available for export for a limited period in accordance with our standard practices.
These Terms are governed by the laws of the jurisdiction specified in your order form, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, subject to any agreed arbitration provisions.
We may update these Terms from time to time. We will post the updated version with a revised “last updated” date and, where changes are material, provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance.
